These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and SETRA LTD, a private limited company incorporated in England and Wales under company number 16530519, with its registered office at 124 City Road, London, United Kingdom, EC1V 2NX (“Setra,” “we,” “us,” or “our”).

These Terms govern your access to and use of Setra’s websites, applications, software, APIs, SDKs, interfaces, AI features, trading automation tools, social features, wallet-related functionality and any other products or services made available by Setra (collectively, the “Services”).

By accessing or using the Services, connecting a wallet, creating an account, deploying an automation, purchasing a subscription or otherwise indicating your acceptance of these Terms, you agree to be bound by them.

If you do not agree to these Terms, you must not access or use the Services.

1. Agreement to These Terms

By using the Services, you confirm that you have read, understood and agreed to these Terms.

If you access or use the Services on behalf of a company, organisation or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, references to “you” and “your” include that entity.

Our Privacy Policy and Cookie Policy explain how we process personal information and use cookies and similar technologies. Those policies should be read together with these Terms.

2. Eligibility

You must be at least eighteen years old and have the legal capacity to enter into a binding agreement in your jurisdiction.

By accessing or using the Services, you represent and warrant that:

  1. you are legally permitted to use the Services;
  2. your use of the Services does not violate any applicable law, regulation, court order or contractual obligation;
  3. you are not subject to sanctions or trade restrictions that prohibit your use of the Services;
  4. you are not acting directly or indirectly for the benefit of a sanctioned or restricted person or entity; and
  5. all information you provide to Setra is accurate, complete and current.

You may not use the Services if you are located in, ordinarily resident in, organised under the laws of, or accessing the Services from a jurisdiction in which the Services or any relevant functionality would be illegal or would require Setra to obtain a licence, registration or authorisation that it does not hold.

The availability of the Services in a particular jurisdiction does not constitute a representation that the Services or any feature are lawful, registered or authorised in that jurisdiction.

Setra may restrict, suspend or block access from any person, wallet, account, device, IP address or jurisdiction where we reasonably believe that access may violate applicable law, sanctions, regulatory requirements or these Terms.

3. Nature of the Services

Setra provides non-custodial software tools that allow Users to research, monitor, configure and automate transactions across supported blockchain-based markets.

The Services are designed exclusively for onchain markets and may include:

  1. spot transactions executed through third-party decentralised exchanges, aggregators and blockchain protocols;
  2. onchain perpetual markets made available through independent third-party protocols;
  3. market data, analytics, signals and AI-generated information;
  4. pre-built and user-created trading automations;
  5. strategy simulation, backtesting and paper trading;
  6. portfolio and position monitoring;
  7. user-controlled smart-wallet functionality;
  8. social trading and strategy-sharing features; and
  9. third-party agents, skills, protocols and integrations.

Setra does not provide access to traditional securities exchanges, offchain brokerage accounts or centrally operated trading accounts.

Where the Services reference stocks, commodities, indices, pre-IPO companies or other real-world markets, such references relate exclusively to blockchain-based markets, perpetual contracts, synthetic instruments or other forms of onchain exposure made available by independent third-party protocols.

Unless expressly stated otherwise by the relevant third-party protocol, trading such an onchain market does not give the User ownership of the referenced underlying asset, including any shares, commodities or securities, and does not provide voting, dividend, redemption or other ownership rights associated with that underlying asset.

Features may be added, modified, limited, suspended or discontinued at any time.

Setra does not guarantee that any particular asset, blockchain, protocol, market, strategy, order type or functionality will remain available.

4. Non-Custodial Architecture

The Services are non-custodial.

You retain ownership and control of your digital assets at all times.

Setra does not accept deposits on your behalf, hold customer funds in an omnibus account or independently control your digital assets.

The Services may allow you to connect an existing wallet or facilitate the creation of a self-custodial or embedded wallet through third-party wallet infrastructure.

Setra does not have unrestricted authority to access, withdraw, transfer or otherwise use assets held in your wallet.

Where the Services support delegated permissions, session keys, smart-account permissions, token approvals or similar mechanisms, Setra may facilitate transactions only within the permissions, parameters and limits that you have expressly configured or authorised.

You are responsible for reviewing and understanding all permissions before approving them.

You may be able to revoke permissions through the Services, your wallet provider, the relevant smart contract or another supported interface. Revocation may not cancel transactions that have already been signed, submitted, broadcast or executed, or positions and orders already opened through a third-party protocol.

Setra cannot:

  1. recover lost private keys, passwords or recovery phrases;
  2. reverse or modify confirmed blockchain transactions;
  3. restore access to a wallet where the applicable wallet infrastructure does not permit recovery;
  4. prevent a blockchain, smart contract or protocol from executing an already-authorised transaction; or
  5. guarantee recovery of assets lost through user error, fraud, smart-contract failure or compromise of your device or credentials.

5. Setra Is a Software Provider

Setra provides a non-custodial software interface, automation infrastructure and technological tools for interacting with supported onchain protocols.

Setra does not:

  1. operate a centralised or decentralised exchange;
  2. operate a traditional securities or derivatives exchange;
  3. maintain an internal order book;
  4. issue, list, underwrite or create the markets accessed through the Services;
  5. act as the counterparty to User transactions;
  6. buy or sell digital assets directly from or to Users;
  7. hold or custody User funds or digital assets;
  8. accept deposits on behalf of Users;
  9. provide fiat-to-crypto or crypto-to-fiat conversion;
  10. act as a bank, broker-dealer, investment adviser, portfolio manager, fiduciary or discretionary asset manager; or
  11. guarantee the execution, settlement or performance of any transaction.

Transactions initiated through the Services are submitted to and executed through independent third-party decentralised exchanges, blockchain networks, smart contracts, liquidity protocols, bridges, aggregators or onchain trading venues.

The applicable third-party protocol determines how orders, transactions, positions, margin, collateral, liquidations and settlements are processed.

Setra provides the software layer through which Users may configure and transmit their instructions. Setra is not the trading venue, issuer or counterparty responsible for the underlying transaction.

Market monitoring and strategy decisions may use a combination of onchain and offchain data sources. However, live transactions facilitated through the Services are executed and recorded through supported onchain protocols.

6. User-Directed Automations

The Services allow Users to configure, select and deploy automations that monitor market conditions and facilitate transactions across supported onchain markets.

When you deploy an automation, you provide a standing instruction authorising the Services to monitor specified conditions and, when those conditions are detected, submit transactions to the relevant third-party onchain protocol in accordance with the parameters and permissions you selected.

Depending on the automation, transactions may be submitted without requesting additional confirmation from you when each individual trigger occurs.

All live transaction execution remains subject to:

  1. the wallet permissions authorised by you;
  2. the parameters and risk limits configured by you;
  3. the rules and technical operation of the relevant blockchain or protocol;
  4. available collateral, liquidity and gas;
  5. market conditions; and
  6. applicable legal or geographic restrictions.

Setra cannot execute transactions outside the permissions and limits authorised by you.

You are solely responsible for selecting the relevant automation, asset, onchain market, blockchain, protocol, position size, leverage, slippage, frequency, stop-loss, take-profit and other parameters.

7. Artificial Intelligence and Automated Outputs

The Services may use artificial intelligence, machine learning, algorithmic systems or third-party models to generate:

  1. market analysis;
  2. trading signals;
  3. asset scores;
  4. strategy suggestions;
  5. summaries;
  6. forecasts;
  7. risk indicators;
  8. automation parameters; and
  9. other content or outputs.

AI-generated and algorithmic outputs are probabilistic. They may be inaccurate, incomplete, misleading, outdated, inconsistent or technically incorrect.

AI systems may misunderstand your instructions, use incomplete data, generate unsuitable parameters or fail to account for relevant market, legal, technical or personal circumstances.

You must independently review any output before relying on it or using it to configure an automation.

Setra does not represent or warrant that any AI-generated output:

  1. is accurate or complete;
  2. reflects current market conditions;
  3. is appropriate for you;
  4. will produce a particular outcome;
  5. is free from bias or error; or
  6. complies with the laws applicable to you.

You remain responsible for every decision, instruction, permission, strategy and transaction made through your account or wallet, including those generated or facilitated using AI.

8. No Financial or Investment Advice

Any analytics, signals, strategies, market information, educational content, AI-generated outputs, backtests or other information made available through the Services are provided for general informational and technological purposes only.

Nothing provided through the Services constitutes:

  1. financial advice;
  2. investment advice;
  3. legal advice;
  4. tax advice;
  5. accounting advice;
  6. a personal recommendation;
  7. an offer or solicitation to buy or sell a financial instrument or digital asset;
  8. portfolio management;
  9. investment research prepared in accordance with regulated research requirements; or
  10. a guarantee or representation regarding future performance.

Setra does not assess whether a transaction, asset, strategy, automation or level of risk is suitable or appropriate for you.

You should obtain independent professional advice where appropriate before making financial, legal, investment or tax decisions.

Setra is not acting as your broker, investment adviser, fiduciary, legal representative or agent in any legal or regulated financial-services capacity.

References in the Services to an “agent,” “AI agent,” “trading agent,” “assistant” or “operator” describe software functionality only. They do not create an agency, advisory, brokerage, fiduciary, employment, partnership or discretionary management relationship between you and Setra.

9. Strategies, Backtesting and Paper Trading

The Services may display strategies, historical performance, backtests, simulations, rankings, statistics or hypothetical results.

Backtested, simulated and hypothetical results have significant limitations. They are not based on actual execution under current market conditions and may not accurately account for:

  1. liquidity;
  2. market impact;
  3. slippage;
  4. spreads;
  5. gas costs;
  6. execution latency;
  7. failed or reverted transactions;
  8. funding rates;
  9. liquidation risk;
  10. price-oracle behaviour;
  11. protocol fees;
  12. assets transfers fees or transfer restrictions;
  13. changing market conditions; or
  14. the practical difficulty of executing a strategy at scale.

Paper trading uses simulated assets and does not reproduce every condition affecting live trading.

Past performance, backtested performance, simulated performance and strategy rankings do not guarantee future results.

A strategy displayed as “top,” “trending,” “high-performing,” “low-risk” or using similar wording is not an endorsement, guarantee or personal recommendation.

10. Digital-Asset and DeFi Risks

Digital assets, decentralised finance and automated trading involve substantial risk.

You acknowledge and accept that you may lose some or all of the assets used through the Services.

Risks include, without limitation:

  1. extreme price volatility;
  2. total loss of value;
  3. insufficient liquidity;
  4. slippage and market impact;
  5. failed, delayed, duplicated or incorrectly executed transactions;
  6. smart-contract vulnerabilities;
  7. wallet compromise;
  8. phishing, malware and social-engineering attacks;
  9. blockchain congestion, forks, reorganisations and outages;
  10. oracle failures or manipulation;
  11. bridge failures and cross-chain risks;
  12. validator, sequencer, relayer, RPC or infrastructure failures;
  13. protocol governance changes;
  14. token contract restrictions, taxes, blacklisting or upgradeability;
  15. depegging of stablecoins or wrapped assets;
  16. liquidation of leveraged positions;
  17. funding-rate costs;
  18. unexpected changes to margin requirements;
  19. front-running, sandwich attacks and other forms of maximal extractable value;
  20. regulatory or legal changes;
  21. sanctions or access restrictions;
  22. errors in market data, AI outputs or automation logic;
  23. unauthorised access to your account or device; and
  24. the insolvency, failure or misconduct of a third-party service provider.

Digital assets are not generally protected in the same way as money held with a regulated bank.

Unless expressly required by applicable law, assets and transactions accessed through the Services are not protected by deposit-guarantee, investor-compensation or similar statutory protection schemes.

Setra does not guarantee the security, legality, liquidity, value or continued availability of any digital asset, blockchain, protocol, bridge or market.

11. Onchain Perpetual Markets, Leverage and Derivatives

Certain Services may allow Users to monitor, configure or automate transactions involving perpetual contracts and other leveraged markets made available through independent third-party onchain protocols, including protocols such as Hyperliquid.

Perpetual contracts are blockchain-based derivative instruments that provide exposure to the price of a referenced asset without an expiry date. They do not necessarily involve the purchase, delivery or ownership of the referenced underlying asset.

Setra does not issue, create, underwrite, list or operate these perpetual contracts or markets. Setra does not determine their contract specifications, margin requirements, funding rates, oracle prices, liquidation rules or settlement mechanisms.

The relevant third-party onchain protocol operates the market and processes orders, positions, collateral, funding payments and liquidations according to its own rules and smart-contract or blockchain infrastructure.

Setra provides non-custodial software tools through which Users may configure and transmit instructions to those protocols.

Where a perpetual market references a stock, commodity, index, pre-IPO company or other real-world asset, the User is obtaining exposure through an onchain derivative or synthetic market. The User is not purchasing the underlying stock, commodity, security or other referenced asset and does not receive ownership, voting, dividend, redemption or similar rights in relation to it.

Leverage amplifies both gains and losses. A relatively small market movement may result in a substantial loss or the liquidation of the entire position.

You are solely responsible for understanding:

  1. the nature of perpetual contracts;
  2. leverage and collateral requirements;
  3. cross-margin and isolated-margin mechanics;
  4. liquidation prices and liquidation procedures;
  5. funding payments;
  6. mark prices and oracle prices;
  7. order types;
  8. applicable protocol fees; and
  9. all protocol-specific rules and risks.

Setra does not guarantee that a stop-loss, take-profit, liquidation protection or other risk-control instruction will execute at the requested price or execute at all.

Network congestion, protocol outages, liquidity conditions, price gaps, oracle failures, execution latency and other circumstances may prevent or delay an instruction from being executed.

Access to perpetual or leveraged functionality may be restricted or unavailable depending on the User’s jurisdiction, account status, the applicable third-party protocol or other legal, technical or compliance considerations.

12. Third-Party Services and Protocols

The Services may integrate with or provide access to third-party:

  1. wallet providers;
  2. blockchain networks;
  3. decentralised applications;
  4. smart contracts;
  5. trading venues;
  6. aggregators;
  7. bridges;
  8. liquidity sources;
  9. market-data providers;
  10. AI-model providers;
  11. payment processors;
  12. authentication providers; and
  13. other agents, applications or infrastructure.

Setra does not own or control these third parties unless expressly stated.

Your use of a third-party service may be subject to separate terms, policies, fees and eligibility requirements.

Setra does not guarantee the security, accuracy, legality, availability, performance or continued operation of any third-party service.

An integration or reference to a third party does not constitute an endorsement, warranty or guarantee.

To the maximum extent permitted by law, Setra is not responsible for losses caused by or connected with a third-party service, protocol, smart contract, wallet provider, blockchain or trading venue.

13. Wallet and Account Security

You are responsible for maintaining the security of:

  1. your wallets;
  2. your account;
  3. your email address;
  4. your devices;
  5. your authentication credentials;
  6. your passwords;
  7. your private keys;
  8. your recovery phrases;
  9. your passkeys;
  10. your delegated permissions; and
  11. any device or service used to access Setra.

You must not share credentials or recovery information with another person.

You must notify Setra promptly if you believe your account, wallet or device has been compromised.

Setra may take reasonable steps to restrict access to the Services where a security issue is suspected. However, Setra cannot freeze, reverse or recover assets held in a non-custodial wallet merely by suspending access to the Setra interface.

Transactions may remain possible through the blockchain or relevant third-party protocol even if your access to the Setra interface is restricted.

14. User Responsibilities

You are solely responsible for:

  1. ensuring your use of the Services is lawful;
  2. paying applicable taxes;
  3. maintaining records of your transactions;
  4. reviewing transaction details before authorising them;
  5. maintaining sufficient gas, collateral or balances;
  6. verifying token and smart-contract addresses;
  7. evaluating the security and legitimacy of assets and protocols;
  8. configuring appropriate risk controls;
  9. monitoring active automations and positions; and
  10. determining whether the Services are appropriate for your circumstances.

Setra does not have an obligation to monitor your transactions or prevent you from making an unsuitable, unprofitable or high-risk decision.

15. Prohibited Conduct

You must not use the Services to:

  1. violate any law, regulation, sanctions programme or court order;
  2. launder money or finance terrorism;
  3. commit fraud, theft, deception or market abuse;
  4. engage in market manipulation, wash trading, spoofing, front-running or abusive trading practices;
  5. evade taxes or reporting obligations;
  6. transact with sanctioned persons, entities or addresses;
  7. exploit, attack or interfere with the Services or a third-party protocol;
  8. introduce malware, malicious code or harmful data;
  9. obtain unauthorised access to another person’s wallet, account or data;
  10. impersonate another person or misrepresent your identity;
  11. manipulate referral, reward, ranking or performance systems;
  12. scrape, copy or extract data from the Services in an unauthorised manner;
  13. reverse engineer or circumvent security or access controls, except where applicable law expressly permits it;
  14. use the Services to develop or train a competing product without written permission;
  15. infringe intellectual-property, privacy or other third-party rights; or
  16. assist another person in carrying out prohibited conduct.

Setra may investigate suspected violations and cooperate with law-enforcement, regulatory or sanctions authorities where required or appropriate.

16. Fees, Gas and Transaction Costs

Your use of the Services may involve:

  1. subscription fees;
  2. execution or transaction fees;
  3. protocol fees;
  4. blockchain gas fees;
  5. bridge fees;
  6. liquidity-provider fees;
  7. spreads or price impact imposed by third-party markets;
  8. funding payments;
  9. liquidation fees; and
  10. other third-party costs.

Fees charged by Setra will be disclosed through the Services or applicable pricing materials.

Third-party fees may change without notice and may not be controlled by Setra.

You authorise Setra and its payment providers to charge the payment method you select for applicable subscription or service fees.

You are responsible for all taxes, duties and governmental charges associated with your use of the Services, except taxes imposed directly on Setra’s income.

17. Subscriptions, Renewals and Cancellation

Certain features may require a paid subscription.

Unless otherwise stated at the time of purchase, paid subscriptions renew automatically at the end of each billing period until cancelled.

By purchasing a recurring subscription, you authorise Setra or its payment processor to charge the applicable subscription fee at each renewal.

You may cancel a subscription through the available account settings or by contacting Setra. Cancellation normally takes effect at the end of the current paid billing period unless applicable law requires otherwise.

Fees already paid are non-refundable except:

  1. where required by applicable law;
  2. where expressly stated in the applicable offer; or
  3. where Setra determines that a refund is appropriate.

Setra may change subscription prices or plan features. Where reasonably practicable, material price changes affecting an existing recurring subscription will be communicated before the next renewal.

Nothing in these Terms limits mandatory consumer cancellation, refund or statutory rights that apply in your jurisdiction.

18. Social Trading and User-Generated Content

The Services may allow users to:

  1. publish strategies;
  2. share automations;
  3. display performance;
  4. follow other users;
  5. copy or deploy another user’s strategy;
  6. publish comments or other content; or
  7. receive creator fees or rewards.

Setra does not verify or guarantee the identity, expertise, honesty, accuracy or performance of any user or strategy creator.

Performance information may be incomplete, delayed, simulated, affected by different position sizes or market conditions, or otherwise not representative of the results another user will obtain.

Copying or deploying another user’s strategy does not create an advisory, fiduciary or management relationship between you, Setra or the strategy creator.

You assume all risks associated with user-generated strategies and social features.

You retain ownership of content you submit to the Services. By submitting or publishing content, you grant Setra a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, display, distribute, adapt and use that content to operate, promote and improve the Services.

You represent and warrant that you have all rights required to submit the content and that the content does not violate any law or third-party right.

Setra may remove or restrict content that violates these Terms or creates legal, regulatory, security or reputational risk.

19. Intellectual Property

The Services, including their software, source code, object code, interfaces, design, databases, graphics, text, logos, trademarks and other content, are owned by or licensed to Setra and are protected by intellectual-property laws.

Subject to these Terms, Setra grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Services for their intended purpose.

Except where permitted by applicable law or an applicable open-source licence, you must not:

  1. copy, modify or create derivative works from the Services;
  2. sell, rent, sublicense or commercially exploit the Services;
  3. reverse engineer, decompile or disassemble the Services;
  4. remove intellectual-property notices;
  5. use Setra trademarks without permission; or
  6. access the Services for the purpose of building a competing product.

All rights not expressly granted are reserved by Setra.

20. Privacy and Data

Your use of the Services is subject to our Privacy Policy.

Blockchain transactions are public and permanent. Information recorded on a public blockchain may be visible to any person and may not be capable of being deleted or modified by Setra.

You should not include confidential, sensitive or personal information in public transaction data, wallet metadata, strategy names or other blockchain-based content.

21. Service Availability and Changes

The Services are provided on an “as is” and “as available” basis.

Setra does not guarantee that the Services will be uninterrupted, secure, accurate, error-free or available at any particular time.

Maintenance, technical failures, market events, third-party outages, blockchain congestion, security incidents or regulatory requirements may affect the Services.

Features identified as beta, experimental, preview, early access or similar may be incomplete, unstable or changed without notice.

Setra may modify, suspend or discontinue any part of the Services where reasonably necessary for technical, commercial, legal, security or regulatory reasons.

22. Suspension and Termination

You may stop using the Services at any time.

Setra may suspend, restrict or terminate your access where we reasonably believe that:

  1. you have violated these Terms;
  2. your account or wallet has been compromised;
  3. your activity creates security, legal, sanctions or regulatory risk;
  4. you have failed to pay applicable fees;
  5. suspension is required by law or a competent authority; or
  6. continued access could harm Setra, its users or a third party.

Where reasonably practicable and legally permitted, Setra may provide notice of suspension or termination.

Termination of access to the Setra interface does not necessarily close blockchain positions, cancel third-party orders or revoke wallet permissions. You remain responsible for managing them directly through the relevant wallet, protocol or blockchain.

Provisions that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, risks, disclaimers, liability, indemnification and disputes.

23. Disclaimers

To the maximum extent permitted by applicable law:

  1. the Services are provided without express or implied warranties;
  2. Setra disclaims warranties of satisfactory quality, merchantability, fitness for a particular purpose, title and non-infringement;
  3. Setra does not warrant that the Services will meet your requirements;
  4. Setra does not warrant the accuracy of market data, AI outputs or third-party content;
  5. Setra does not guarantee the execution or settlement of any transaction;
  6. Setra does not guarantee profits, returns or avoidance of losses; and
  7. Setra does not guarantee that any automation, stop-loss or risk control will operate as intended.

No oral or written statement made by Setra creates a warranty unless expressly included in these Terms or required by law.

Nothing in these Terms excludes any warranty or statutory right that cannot lawfully be excluded.

24. Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  1. death or personal injury caused by negligence;
  2. fraud or fraudulent misrepresentation;
  3. wilful misconduct; or
  4. any liability that cannot lawfully be excluded or limited.

Subject to the paragraph above and to the maximum extent permitted by applicable law, Setra and its directors, officers, employees, contractors, affiliates and service providers will not be liable for:

  1. loss of profits, revenue, business, opportunity, goodwill or anticipated savings;
  2. loss or corruption of data;
  3. indirect, incidental, special, exemplary, punitive or consequential loss;
  4. changes in the value of a digital asset;
  5. trading or investment losses;
  6. liquidation losses;
  7. slippage, gas fees or failed transactions;
  8. loss caused by a blockchain, smart contract, protocol, bridge, wallet or third-party service;
  9. unauthorised access resulting from your failure to secure your credentials or device;
  10. reliance on an AI output, strategy, backtest, signal or user-generated content; or
  11. an event outside Setra’s reasonable control.

Subject to the exclusions above, Setra’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:

  1. the amount you paid directly to Setra for the Services during the twelve months preceding the event giving rise to the claim; or
  2. one hundred pounds sterling (£100).

These limitations apply regardless of the legal basis of the claim and even where Setra was informed that a loss was possible.

The limitations apply only to the extent permitted by applicable law. Your mandatory consumer rights remain unaffected.

25. Business-User Indemnity

If you use the Services on behalf of a business, organisation or professional activity, you agree to indemnify and hold harmless Setra and its affiliates, directors, officers, employees and contractors from claims, liabilities, damages, penalties, losses and reasonable legal expenses arising from:

  1. your unlawful use of the Services;
  2. your material breach of these Terms;
  3. your infringement of a third-party right;
  4. content, strategies or automations you publish; or
  5. your violation of sanctions, tax, financial, market-abuse or other applicable laws.

This section does not require a consumer to indemnify Setra to an extent prohibited or considered unfair under applicable consumer law.

26. Force Majeure

Setra will not be responsible for a failure or delay caused by circumstances beyond its reasonable control, including:

  1. natural disasters;
  2. pandemics;
  3. war, terrorism or civil unrest;
  4. governmental or regulatory action;
  5. sanctions;
  6. labour disputes;
  7. internet or telecommunications failures;
  8. cyberattacks;
  9. denial-of-service attacks;
  10. blockchain outages or reorganisations;
  11. failures of smart contracts, protocols, bridges, RPC providers or wallet infrastructure;
  12. power failures; or
  13. failures of third-party suppliers.

Setra’s affected obligations will be suspended for the duration of the relevant event to the extent reasonably necessary.

287 Changes to These Terms

Setra may update these Terms to reflect changes to:

  1. the Services;
  2. applicable law;
  3. regulatory requirements;
  4. security practices;
  5. third-party integrations; or
  6. our business operations.

Updated Terms will be posted with a revised “Last Updated” date.

Where a change materially affects your rights and it is reasonably practicable to do so, Setra may provide additional notice through the Services or by email.

Changes will take effect on the date stated in the updated Terms. Your continued use of the Services after that date constitutes acceptance of the updated Terms.

Where applicable law requires your express consent to a change, the change will not bind you until that consent is obtained.

28. Governing Law and Disputes

These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales.

Subject to mandatory consumer-protection and jurisdictional rights, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.

If you are a consumer, you may also have the right to bring proceedings in the courts of the country or region where you live, and nothing in these Terms deprives you of mandatory protections provided by the law of your habitual residence.

Before commencing formal proceedings, you and Setra agree to make a reasonable good-faith effort to resolve the dispute informally.

29. General Provisions

Entire Agreement

These Terms, together with the policies expressly incorporated into them, constitute the entire agreement between you and Setra concerning the Services.

Severability

If any provision is held to be invalid or unenforceable, the remaining provisions will remain in effect. The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.

No Waiver

A failure or delay by Setra in exercising a right does not waive that right.

Assignment

You may not assign or transfer your rights or obligations under these Terms without Setra’s written consent.

Setra may assign or transfer these Terms as part of a merger, restructuring, financing, sale of business or transfer to an affiliate, subject to applicable law.

No Partnership

These Terms do not create a partnership, joint venture, employment, fiduciary or agency relationship between you and Setra.

Third-Party Rights

Unless expressly stated otherwise, a person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.

Electronic Communications

You consent to receiving agreements, notices and other communications electronically, including through the Services or by email.
